Job Description

  1. Develop and implement corporate governance policies and procedures in alignment with regulatory requirements and industry best practices.
  2. Monitor and evaluate the effectiveness of current corporate governance practices and make recommendations for improvement.
  3. Stay informed about relevant laws, regulations, and industry trends related to corporate governance and ensure compliance within the organization.
  4. Serve as a subject matter expert and provide guidance to internal stakeholders on corporate governance matters.
  5. Collaborate with cross-functional teams to identify potential risks and develop strategies to mitigate them.
  6. Conduct regular audits and reviews to ensure adherence to corporate governance policies and identify areas for improvement.
  7. Work with legal counsel and other external advisors to ensure that the company's corporate governance practices are in line with legal requirements.
  8. Develop and deliver training programs to educate employees on corporate governance principles and the importance of ethical conduct.
  9. Prepare and present reports to senior management and the Board of Directors on corporate governance matters.
  10. Foster a culture of ethical behavior and compliance throughout the organization.
  11. Lead and facilitate corporate governance committee meetings and ensure timely completion of action items.
  12. Conduct research and benchmarking to identify industry best practices and make recommendations for their implementation.
  13. Develop and maintain strong relationships with regulatory bodies and industry associations to stay informed about changes in corporate governance requirements.
  14. Serve as the main point of contact for all corporate governance inquiries and provide timely and accurate responses.
  15. Continuously assess and improve corporate governance processes to ensure efficiency and effectiveness.

Job Qualifications
  • Strong Understanding Of Corporate Governance Principles And Regulations: The Ideal Candidate Should Possess A Deep Knowledge Of Corporate Governance Laws, Regulations, And Best Practices To Ensure Compliance And Promote Ethical Decision-Making Within The Organization.

  • Extensive Experience In Corporate Governance: A Minimum Of 5 Years Of Experience In A Corporate Governance Role, Preferably In A Multinational Company, Is Required For This Position. The Candidate Should Have A Proven Track Record Of Successfully Managing And Implementing Governance Initiatives.

  • Excellent Communication And Stakeholder Management Skills: The Corporate Governance Manager Will Be Responsible For Communicating Complex Governance Issues To Key Stakeholders, Including Board Members, Senior Management, And External Regulators. Therefore, Strong Written And Verbal Communication Skills, As Well As The Ability To Build And Maintain Relationships, Are Essential.

  • Strategic Thinking And Problem-Solving Abilities: The Role Requires The Ability To Think Critically And Strategically About Potential Governance Risks And Develop Solutions To Mitigate Them. The Ideal Candidate Should Have A Strong Analytical Mindset And Be Able To Make Sound Decisions Under Pressure.

  • Relevant Education And Certifications: A Bachelor's Or Master's Degree In Business Administration, Law, Or A Related Field Is Usually Required For This Role. Additionally, Having Professional Certifications Such As Certified Corporate Governance Professional (Ccgp) Or Certified In The Governance Of Enterprise It (Cgeit) Can Be Advantageous.
