  1. Support the company's corporate governance efforts by ensuring compliance with regulations and best practices.
  2. Manage and maintain accurate records of all subsidiary companies.
  3. Assist with the preparation and filing of legal documents, such as annual reports and meeting minutes.
  4. Coordinate and organize board and committee meetings for subsidiary companies.
  5. Communicate effectively with internal stakeholders, including senior management and board members.
  6. Conduct research and analysis on corporate governance trends and regulations to ensure compliance.
  7. Collaborate with cross-functional teams to develop and implement corporate governance policies and procedures.
  8. Maintain a high level of confidentiality and discretion when handling sensitive information.
  9. Serve as a point of contact for subsidiary companies, providing support and guidance as needed.
  10. Proactively identify and address any potential corporate governance risks or issues.
  11. Ensure timely and accurate communication of corporate governance updates to relevant stakeholders.
  12. Assist with special projects and initiatives related to corporate governance as needed.
  13. Support the Company Secretary in other tasks as assigned.

Job Qualifications
  • Relevant Education And Certification: A Minimum Of A Bachelor's Degree In Business Administration, Law, Or A Related Field Is Required, Along With Relevant Certifications Such As The Institute Of Chartered Secretaries And Administrators (Icsa) Qualification.

  • Experience In Subsidiary Management: The Ideal Candidate Should Have At Least 3-5 Years Of Experience In Managing Subsidiaries, Preferably In A Multinational Corporation. This Includes Knowledge Of Subsidiary Compliance, Governance, And Corporate Secretarial Duties.

  • Understanding Of Regulatory Requirements: The Assistant Company Secretary Must Possess A Thorough Understanding Of Relevant Laws, Regulations, And Best Practices Related To Subsidiary Management, Including But Not Limited To Company Law, Corporate Governance, And Compliance Requirements.

  • Strong Organizational And Communication Skills: This Role Requires Excellent Organizational Skills To Manage Multiple Subsidiaries And Their Respective Obligations. Additionally, Exceptional Communication Skills Are Essential In Order To Effectively Liaise With Internal And External Stakeholders.

  • Proactive And Detail-Oriented: The Assistant Company Secretary Must Be Proactive In Identifying Potential Issues And Opportunities Related To Subsidiary Management, And Be Detail-Oriented To Ensure Accurate And Timely Reporting And Compliance. The Ability To Prioritize And Manage Tasks Efficiently Is Also Crucial.
