  1. Provide legal guidance and support to the M&A team on all aspects of mergers and acquisitions, including due diligence, deal structuring, and negotiations.
  2. Conduct legal research and analysis to ensure compliance with applicable laws and regulations during all stages of the M&A process.
  3. Collaborate with cross-functional teams, including finance, tax, and HR, to identify and mitigate potential legal risks in M&A transactions.
  4. Draft and review legal documents, including merger agreements, asset purchase agreements, and other transactional documents.
  5. Advise on corporate governance matters, including board meetings and shareholder approvals, related to M&A transactions.
  6. Stay up-to-date on industry trends and best practices in M&A and corporate law to provide strategic and innovative solutions and recommendations.
  7. Manage outside counsel, including budget and strategy, to ensure effective and efficient legal support for M&A activities.
  8. Serve as a key point of contact and liaison between the M&A team and internal stakeholders, external partners, and government agencies.
  9. Assist with integration planning and execution for acquired companies, including legal entity formation and compliance.
  10. Participate in developing and implementing policies and procedures to ensure compliance with legal and regulatory requirements related to M&A activities.
  11. Proactively identify and communicate potential legal issues and concerns to senior management and provide recommendations for resolution.
  12. Foster a positive and collaborative work environment by sharing knowledge and providing guidance to other members of the legal team.

Job Qualifications
  • Juris Doctor (J.d.) Degree From An Accredited Law School

  • Active Membership In Good Standing With The State Bar Association

  • Minimum Of 5 Years Of Experience In Corporate Law, Specifically In Mergers And Acquisitions

  • Extensive Knowledge Of Legal Principles And Regulations Related To Corporate Transactions And Governance

  • Strong Negotiation And Communication Skills, With The Ability To Work Collaboratively With Both Legal And Business Teams
