Job Description

Vanguard is seeking a highly skilled and experienced Senior Counsel to join our team and serve as a key member of our Governance department. In this role, you will provide legal advice and support to help ensure that Vanguard complies with all applicable laws and regulations, as well as internal policies and procedures. As a Senior Counsel, you will play a critical role in maintaining the integrity of our organization and protecting the interests of our clients and shareholders. We are looking for a candidate with a strong background in corporate governance and a deep understanding of the financial services industry.   1. Provide legal counsel and support to ensure compliance with all relevant laws, regulations, and internal policies and procedures.
  2. Serve as a key member of the Governance department, working closely with other team members to maintain the integrity of the organization.
  3. Advise on legal matters related to corporate governance, including board of directors' responsibilities, proxy statements, and shareholder meetings.
  4. Conduct legal research and analysis to stay up-to-date with current laws and regulations and their impact on the financial services industry.
  5. Collaborate with various departments, including Compliance and Risk Management, to ensure that legal requirements are being met.
  6. Draft and review contracts, agreements, and other legal documents.
  7. Develop and implement policies and procedures to promote legal compliance and mitigate risk.
  8. Communicate legal advice and recommendations to senior management and other stakeholders.
  9. Represent the company in legal proceedings, such as litigation or regulatory investigations.
  10. Mentor and train junior legal team members on legal and governance matters.
  11. Stay informed of industry best practices and trends to continually improve the company's legal processes.
  12. Maintain a high level of confidentiality and professionalism in handling sensitive legal matters.

Job Qualifications
  • Extensive Knowledge Of Governance Principles And Practices: The Ideal Candidate For This Role Should Possess A Deep Understanding Of Governance Principles, Regulations, And Best Practices, Including Corporate Governance, Board Practices, And Compliance Requirements.

  • Proven Experience In A Similar Role: A Successful Candidate Should Have At Least 7-10 Years Of Experience In A Senior Legal Or Governance Role, Preferably In The Financial Services Industry. This Experience Should Include Developing And Implementing Governance Strategies And Policies.

  • Strong Communication And Interpersonal Skills: As A Senior Counsel, Governance, The Candidate Will Be Required To Collaborate And Communicate With Various Stakeholders, Including Senior Executives, Regulators, And Board Members. Therefore, Strong Communication And Interpersonal Skills Are Essential For This Role.

  • Analytical And Problem-Solving Abilities: The Candidate Should Have Strong Analytical Skills And The Ability To Think Critically And Creatively To Identify And Solve Complex Governance Issues. This Includes The Ability To Review And Interpret Legal Documents, Regulations, And Policies.

  • Legal Qualifications And Licenses: A Senior Counsel, Governance, Should Have A Juris Doctor (J.d.) Degree From An Accredited Law School And Be Licensed To Practice Law In The State Where The Position Is Located. Additional Certifications In Corporate Governance Or Compliance Would Be A Plus.
